To: GENERAL MEMBERS OF THE ONTARIO ASSOCIATION OF INSOLVENCY AND RESTRUCTURING PROFESSIONALS
RE: PROPOSED AMENDMENTS TO THE BYLAWS
Enclosed are Board approved Bylaws for your review and approval. Pursuant to section 45 of the current bylaws of the Association, new bylaws or amendments to existing bylaws shall be first enacted by the Board of Directors, and must be approved by two-thirds (2/3rds) of the general members voting on such new bylaw or amendment. The enclosed bylaws were approved by the Board of Directors on December 22, 2022.
The bylaws have been amended to comply with the Not-For-Profit Corporations Act (2010) (the “NFPCA”) which came into force October 19, 2021 and to modernize them to better reflect the current professional environment:
The original bylaws as well as the new amended bylaws are attached hereto as well as a blackline document that compares the two versions.
Below is a summary of the major changes that have been made:
- All definitions have been updated, alphabetized and where necessary, added or removed;
- The Membership section 10.00 has been updated to reflect only those LITs who are members of CAIRP and are ordinarily resident in Ontario. Please note that all OAIRP events are still open to all who care to attend, but only Members have the right to vote at the AGM. This change ensured that our Membership classes matched to those membership classes as per our Articles of Incorporation;
- The process for electing Board Members at section 22.00 has been amended to clarify and structure the nominating process; and,
- The Executive Board Members titles to be updated to Chair, First Vice-Chair and Second Vice-Chair to bring them in-line with the NFPCA.
- The voting requirements and procedures have been modernized.
General members may vote on the approval of these bylaws in one of two ways:
- By voting in person at the Annual General Meeting to be held in Virtually on January 17, 2022; or,
- By providing a proxy to someone who will be in attendance at the Annual General Meeting. A copy of the Proxy form is attached hereto.
